Terms of Service

These Terms of Service govern your access to and use of SaySo, including our website, application, proposal pages, subscription services and related features. By creating an account, using SaySo, sending a proposal, or accepting these Terms, you agree to be bound by them. If you do not agree, you must not use SaySo.

§1About SaySo

SaySo is a software service that helps businesses create digital proposals from short voice recordings, edit those proposals, send them to customers, and collect digital approval or signature. SaySo is operated by ALMA, the legal business name registered in Israel. ALMA provides the SaySo software service. SaySo is intended for business use.

§2Who May Use SaySo

You may use SaySo only if you are legally able to enter into a binding agreement. If you use SaySo on behalf of a business, you confirm that you are authorised to accept these Terms on behalf of that business. You are responsible for ensuring that all users under your account comply with these Terms.

§3Your Account

To use certain features, you must create an account. You agree to: • provide accurate and current account information; • keep your login details secure; • notify us if you suspect unauthorised access to your account; • not share your account in a way that avoids plan limits or security controls; • be responsible for all activity under your account, except where caused by our breach of these Terms or applicable law. We may suspend or restrict access to your account if we reasonably believe that your account has been compromised, used unlawfully, used to harm the service, or used in breach of these Terms.

§4The Service

SaySo may include features such as: • voice recording or audio upload; • transcription; • AI assisted extraction of proposal details; • proposal drafting and editing; • proposal templates; • public or shared proposal links; • customer approval or electronic signature; • account dashboard; • subscription management; • branding and business settings. We may improve, update, add, remove or change features from time to time. If we make a material change that negatively affects a paid plan, we will take reasonable steps to notify affected users.

§5AI Generated Content

SaySo uses artificial intelligence and automated tools to help transcribe recordings, extract relevant information, structure proposal content and draft proposal wording. AI output may be inaccurate, incomplete, misleading or unsuitable for your specific situation. You are responsible for reviewing and approving all proposal content before sending it to a customer. SaySo does not provide legal, financial, tax, accounting, construction, medical, professional or regulated advice. You must not rely on AI generated content as a substitute for professional advice where professional advice is required.

§6Your Content

You retain ownership of the content you upload, record, create or submit through SaySo, including proposal text, recordings, transcripts, logos, business information, prices, terms, images and customer details. You grant SaySo a limited, worldwide, royalty free licence to host, store, copy, process, transmit, display and use your content only as reasonably necessary to: • provide the service; • process recordings and generate proposals; • send and display proposals; • maintain, secure and improve the service; • provide support; • comply with law; • enforce these Terms. You confirm that you have all rights, permissions and notices required to upload, record, process and send your content through SaySo.

§7Customer Information and Proposal Recipients

If you enter, upload or process information about your customers, leads, employees, suppliers or other people, you are responsible for ensuring that you have the right to do so. This includes making any required disclosures and obtaining any required consents, including where a recording or proposal includes personal information. When you send a proposal through SaySo, the recipient may view the proposal through a unique link. SaySo may record basic viewing activity, such as when the proposal was opened, approximate viewing activity, browser type, device type, IP address and related technical information. You are responsible for ensuring your customers understand how their information is used, where required by law.

§8Electronic Approvals and Signatures

SaySo may allow proposal recipients to approve or sign proposals electronically. Electronic signatures are generally recognised in Australia for many transactions, provided relevant legal requirements are met. The method should identify the person and indicate their approval of the information being signed. However, not every document or transaction is suitable for electronic signature. Some documents may require additional formalities, identity checks, witnessing, wet ink signatures, qualified signature methods, or use of a specific signing process. You are responsible for deciding whether SaySo's approval or signature process is suitable for your proposal, industry, customer, jurisdiction and legal requirements. SaySo does not guarantee that every electronic approval or signature collected through the service will be legally enforceable in every situation.

§9Acceptable Use

You must not use SaySo to: • break the law; • infringe another person's rights; • send spam or misleading communications; • upload unlawful, harmful, abusive, defamatory, discriminatory or deceptive content; • upload malware or harmful code; • attack, overload, scrape, reverse engineer or interfere with the service; • bypass security, authentication, usage limits or billing controls; • impersonate another person or business; • use the service to create fraudulent proposals, fake signatures or misleading documents; • use automated scripts or bots without our written permission; • resell, sublicense or provide the service to others unless your plan or written agreement allows it. We may suspend or terminate access if we reasonably believe this section has been breached.

§10Plans, Fees and Payment

SaySo may offer free and paid plans. Plan features, limits, prices and billing periods will be shown on the pricing page or checkout page before purchase. Unless stated otherwise: • subscription fees are charged in advance; • subscriptions renew automatically until cancelled; • usage limits reset according to the applicable billing cycle; • taxes may be added where required; • payment processing may be handled by an external payment provider or merchant of record. We do not store full credit card details on our own systems.

§11Trials, Promotions and Beta Access

We may offer free trials, promotional plans, beta access or early access features. Trial, beta or promotional features may be limited, changed or withdrawn. During beta periods, the service may contain bugs, incomplete features or unstable functionality. If pricing is introduced after a free beta period, we will take reasonable steps to notify users before paid billing begins. You will not be charged unless you provide payment details and agree to a paid plan.

§12Cancellation

You may cancel your subscription through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period unless stated otherwise at checkout or required by law. After cancellation, you may lose access to paid features at the end of the billing period. You are responsible for exporting any content you need before closing your account, unless export is unavailable due to a technical issue caused by us.

§13Refund Policy

ALMA offers customers a full refund within 14 days of the transaction date, no questions asked. This applies to SaySo monthly and annual subscription charges. Refunds are processed by Paddle, our Merchant of Record, and returned to the original payment method where possible. To request a refund: hello@alma-ads.co.il

§14Service Availability

We aim to keep SaySo available and reliable, but we do not guarantee uninterrupted access. The service may be unavailable due to maintenance, updates, outages, security issues, third party provider failures, internet issues, or events outside our reasonable control. Where practical, we will take reasonable steps to reduce disruption.

§15Third Party Services

SaySo may rely on third party providers for hosting, database infrastructure, AI processing, transcription, email delivery, analytics, payment processing, authentication and other functions. We are not responsible for third party services that are outside our reasonable control, but we will take reasonable steps to select and manage service providers appropriately. Your use of third party services may also be subject to their own terms and policies.

§16Intellectual Property

SaySo, including its software, interface, workflows, designs, branding, templates, systems, code, documentation and underlying technology, is owned by us or our licensors. You must not copy, modify, reproduce, distribute, sell, lease, reverse engineer, create derivative works from, or attempt to extract the source code of SaySo, except where allowed by law. You may use SaySo only as permitted by these Terms and your plan.

§17Feedback

If you provide feedback, suggestions, ideas or improvement requests, we may use them without restriction or compensation to you. This does not transfer ownership of your uploaded business content, customer content or proposal content to us.

§18Privacy

Our handling of personal information is described in our Privacy Policy. By using SaySo, you agree that we may collect, use, store and disclose personal information as described in the Privacy Policy. You are responsible for ensuring that any personal information you upload or process through SaySo has been collected and shared lawfully.

§19Data Retention and Account Closure

We may retain information for as long as reasonably necessary to provide the service, comply with legal obligations, maintain records, resolve disputes, enforce agreements, prevent fraud, protect security and support legitimate business purposes. Signed or approved proposals may be retained for a longer period where needed for contractual records, tax, accounting, evidence, disputes or legal compliance. Deletion from backups may take additional time according to technical backup cycles.

§20Suspension and Termination

We may suspend, restrict or terminate your access if: • you breach these Terms; • you fail to pay fees when due; • your use creates security, legal, operational or reputational risk; • we are required to do so by law; • we reasonably suspect fraud, abuse or unauthorised use. Where reasonable, we will give notice and an opportunity to fix the issue. We may act without prior notice where necessary to protect the service, users, proposal recipients, third parties, or legal compliance. You may stop using the service at any time and may request account closure.

§21Disclaimers

To the maximum extent permitted by law, SaySo is provided on an "as is" and "as available" basis. We do not promise that: • the service will be uninterrupted or error free; • AI output will be complete, accurate or suitable for your needs; • proposals will result in sales, revenue, signatures or customer acceptance; • the service will meet every industry, legal or professional requirement; • every electronic signature or approval will be enforceable in every situation. Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot be excluded, restricted or modified under applicable law, including the Australian Consumer Law.

§22Limitation of Liability

To the maximum extent permitted by law, SaySo is not liable for indirect, incidental, special, consequential or punitive loss, including loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of data, or business interruption. To the maximum extent permitted by law, our total liability for claims relating to the service is limited to the amount you paid to SaySo for the service in the 12 months before the event giving rise to the claim. This limitation does not apply where liability cannot be limited under applicable law, including rights that may apply under the Australian Consumer Law.

§23Indemnity

You agree to indemnify SaySo against losses, claims, damages, liabilities and expenses arising from: • your breach of these Terms; • your unlawful use of the service; • content you upload, record, send or publish; • your failure to obtain required rights, permissions, consents or notices; • a dispute between you and your customer about a proposal, price, service, contract, signature or commercial relationship. This indemnity applies only to the extent permitted by law.

§24Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify users, such as by email, in app notice, or website notice. If a change materially disadvantages you and you do not agree to it, you may cancel your subscription before the change takes effect. Your continued use of SaySo after the updated Terms take effect means you accept the updated Terms.

§25Governing Law and Disputes

These Terms are governed by the laws of Israel, except where mandatory laws of another jurisdiction apply. If you are located in Australia, nothing in these Terms limits any mandatory rights or protections you may have under Australian law, including the Australian Consumer Law. Before starting legal proceedings, both sides agree to try to resolve the dispute in good faith by contacting the other side and allowing a reasonable time for response. Nothing prevents either side from seeking urgent injunctive or protective relief where necessary.
